Please review these Terms carefully. By continuing to use our products, you acknowledge and accept the statements below.
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Goldhawk Capital Inc. (“Goldhawk Capital,” “we,” “our,” or “us”). By creating an account, accessing, or using the Goldhawk Capital Platform (the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Platform.
2. About Goldhawk Capital
Goldhawk Capital is an AI-powered fintech platform that connects verified startups with accredited investors. We streamline startup fundraising through automated due diligence, document generation, and secure fund transfer tools. Goldhawk Capital is not a broker-dealer, investment advisor, or legal firm, and does not guarantee investment outcomes or provide investment advice.
3. Eligibility
You may use the Platform only if you are at least 18 years old, legally able to form a binding contract, reside in the United States, provide accurate registration information, and comply with applicable U.S. laws. Investors must meet the SEC definition of an accredited investor.
4. Account Registration and Security
You are responsible for keeping your credentials confidential and for all activity under your account. Provide accurate information, update it when needed, and notify Goldhawk Capital of unauthorized access. We are not liable for loss resulting from unauthorized use.
5. Use of Platform
Use the Platform only for lawful purposes. You agree not to distribute false information, upload malware, reverse-engineer the platform, interfere with security, or circumvent verification requirements. Violations may result in suspension or termination.
6. Services and Features
Goldhawk Capital offers: (1) AI Validation Engine, (2) Legal AI Engine, (3) investor/startup dashboards, and (4) integrated payments via Stripe and Plaid. Outputs are informational and do not replace professional advice.
7. Fees and Payments
Some features may require payment or subscription. Fees will be disclosed before purchase. Payments are processed via Stripe and Dwolla. All transactions are final unless stated otherwise. By paying, you authorize us and our partners to process the charge.
8. Intellectual Property
All intellectual property—including content, source code, AI models, and branding—belongs to Goldhawk Capital Inc. You receive a limited, revocable license to use the Platform. Do not copy or exploit our materials without written consent.
9. Third-Party Services
We integrate partners such as Persona, Plaid, Stripe, and Dwolla. Your data may be shared with them pursuant to their privacy policies. We are not responsible for third-party content or practices.
10. Disclaimer of Warranties
The Platform is provided “as is” and “as available.” Goldhawk Capital disclaims all warranties, including merchantability, fitness, and non-infringement. We do not guarantee uninterrupted service, data accuracy, or timely fixes.
11. Limitation of Liability
To the maximum extent permitted by law, Goldhawk Capital and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits or unauthorized data access. Total liability shall not exceed fees paid in the last six months or USD $100.
12. Indemnification
You will defend, indemnify, and hold Goldhawk Capital harmless from claims, damages, liabilities, and costs (including attorneys’ fees) arising from your Platform use, breach of these Terms, or violation of third-party rights.
13. Termination
We may suspend or terminate access without notice if you violate these Terms or engage in harmful conduct. Upon termination, your right to use the Platform ceases, but accrued obligations survive.
14. Governing Law and Dispute Resolution
These Terms are governed by California law. Any dispute will be resolved exclusively in courts located in San Francisco County, California. Both parties consent to those courts’ jurisdiction.
15. Amendments and Updates
We may revise these Terms and will notify you via email or in-app notices of material changes. Continued use after updates constitutes acceptance.
16. Severability
If any provision is unenforceable, the remaining provisions stay in effect.
17. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Goldhawk Capital.
